Our Membership Service Terms and Conditions

Take a proactive step toward securing expert legal support, predictable costs, and a trusted partnership for your personal or business journey with our membership service.

Your membership will unlock priority access to our legal team, tailored support through your chosen membership tier, and exclusive member-only benefits.

Please carefully read the terms and conditions of our membership service below:

  1. Payment Terms: These outline all of our pricing models. They also include our bank details.  Please quote your matter reference (that you will receive upon completion of your signing up to the membership service) when making payments that fall outside of your subscription.

  2. Terms and Conditions: These cover our Service Level Agreement, document storage, data protection, privacy, and complaints procedure.

  3. “Working With Us”: As a result of joining our membership scheme at Adam Benedict™, you can expect from us objectivity, accountability, access to our resources and for our work to be carried out with reasonable care and skill.  Equally, it is important that we have your commitment and dedication in order to maximise your investment into our services.  This document therefore sets out what you can expect from us, and what we expect from you, during the lifespan of our relationship.  You will be asked to confirm that you have read and understood this document during your onboarding call (see below).

ANTI-MONEY LAUNDERING (AML)

We are legally required to carry out AML checks on all clients. These will be conducted via Infotrack, a secure verification platform. Until these checks are completed, we cannot act for you.

Alternatively, our corporate “Premium” membership, priced at £5,595 per month, provides up to ten projects per month and includes strategic legal planning, quarterly reviews, and oversight from senior solicitors.

All membership plans are designed to offer predictable costs, priority access to legal services, and an ongoing partnership tailored to your legal needs.

SCOPE OF OUR ENGAGEMENT – YOUR MEMBERSHIP

By signing up to an Adam Benedict™ Membership, you are legally engaging us on a subscription retainer basis.

Under this arrangement, we will provide the following:

  • Ongoing access to our legal team during business hours;

  • Availability to deliver up to your selected membership tier’s Projects per Subscription Period (see below); and

  • Access to any additional benefits set out in your chosen subscription tier.

WHAT IS A “PROJECT”?

A “Project” is a discrete legal task that:

  • can be completed within 3 hours of solicitor time;

  • results in a clear deliverable (e.g., reviewed document, written advice, or drafted agreement);

  • is self-contained, requiring no ongoing correspondence or multi-stage workstreams; and

  • involves standard complexity, suitable for routine legal matters.

Examples include:

  • Reviewing a contract of up to 15 pages.

  • Drafting a standard agreement (up to 10 pages).

  • Providing written advice on a legal query.

  • Customising a firm template.

  • Conducting a compliance check.

Projects exceeding these parameters will be quoted separately or counted as multiple projects, as agreed in advance.

By signing our Payment Terms, you confirm your understanding and acceptance of this definition.

WHAT IS A “SUBSCRIPTION PERIOD”?

A “Subscription Period” refers to a one-month interval beginning on the date your membership payment is received.  During each Subscription Period, you are entitled to access the services, benefits, and project allowances specified in your membership tier.  Subscription Periods renew automatically on a monthly basis upon receipt of the next scheduled payment, unless otherwise agreed in writing.

By signing our Payment Terms, you confirm your understanding and acceptance of this definition.

PROJECT DELIVERY TIMING

We aim to complete each Project within the same Subscription Period, provided that your instructions are received within the first half of the month. Where instructions are received during the second half of the month, the project may be scheduled for completion in the following Subscription Period to ensure adequate time for review and delivery.

If we consider that a Project will require longer to complete, we will let you know as soon as possible.

INITIAL ONBOARDING CALL

Once you have signed and returned our Payment Terms and paid your first Subscription Fee (see below), you will be invited to schedule an initial onboarding call with your dedicated account manager.  This call is designed to gather further details about your legal requirements, clarify your priorities, and ensure that your membership is tailored to support your specific needs from the outset. Your account manager will remain your primary point of contact throughout your membership unless otherwise agreed.

SUBSCRIPTION FEE

The “Subscription Fee” is a fixed monthly charge payable in advance that secures your membership with Adam Benedict™.  The Subscription Fee grants you access to our legal team during business hours, the right to request a defined number of legal projects within each Subscription Period, and exclusive benefits associated with your selected membership tier.  The Subscription Fee is not a deposit or prepayment for specific legal work, but rather a retainer for our availability and readiness to deliver services as outlined in this agreement.  By paying the Subscription Fee, you are securing our commitment to be available during the Subscription Period and to deliver the number of projects set out in this letter if requested.  Subscription Fees are invoiced at the start of each Subscription Period and are payable regardless of usage.

For the avoidance of doubt, by accepting our Payment Terms and submitting your payment details, you are giving your irrevocable consent for us to automatically deduct the Subscription Fee from your account at the start of each Subscription Period, unless the agreement is terminated as outlined below. If you anticipate any issues with making payments, please contact your account manager without delay.

ADAM BENEDICT MEMBERSHIP – SCOPE OF SERVICES SUMMARY

The scope of services provided under your Adam Benedict™ membership is limited to specific categories of legal work as defined in our Contentious and Non-Contentious Business checklists. These include select litigation matters such as small claims, debt recovery (Claimant only), and employment disputes relating to wrongful or unfair dismissal, as well as a range of transactional and advisory services for matters not exceeding £100,000 in value. Full details of what is included and excluded are set out in the Scope of Services Checklist contained in Appendix 1 to this letter.

FAIR USAGE & ADD-ON PRICING

To maintain the quality and consistency of our service, each membership tier includes a capped number of projects per calendar month. Projects cannot be rolled over if unused (see below).

If you require additional Projects beyond your monthly allowance, these may be purchased as add-ons. Add-on Projects are billed at our standard rates, which will be agreed with you in advance before any work begins.

For document-based work, we offer per-page pricing to ensure transparency and predictability. Drafting new documents is charged at £50 per page, or £100 for documents up to three pages. Reviewing or marking up existing documents is charged at £50 per page. Complex documents, such as those relating to corporate transactions, financing arrangements, or litigation, will be assessed individually and quoted on a fixed-fee basis.

A “page” is defined as up to 450 words of standard formatted text, typically equivalent to one side of A4.  Long annexes, schedules, or attachments are treated as additional pages.  Please note that highly complex matters may not be eligible for page-based pricing and will instead be quoted separately.

We will always confirm page counts and associated costs with you in advance, and where appropriate, we will agree a fixed fee for complex or bespoke work to ensure clarity and control over your legal spend.

For non-document based work (such as telephone calls, e-mail correspondence or scheduled meetings), where possible, we will charge fixed fees based on a defined scope of work that will be agreed with you in advance.  Alternatively, if a fixed fee cannot be agreed (e.g., because the scope cannot be easily measured or defined) then we will work based on our hourly rates, details of which are set out in our Payment Terms.

“USE IT OR LOSE IT”

Please be aware that any unused projects will automatically expire at the end of the Subscription Period, and cannot be rolled over.  Refunds or credits are not issued for unused or expired project allowances.

If you require more Projects or work outside the defined scope, we will agree a separate fee or upgrade your subscription.

ACCESS TO MEMBERSHIP AREA AND VALUE-ADDS

When you join our membership service, you will receive access to the Members Area of our website. This secure portal includes a range of exclusive resources and tools, such as:

  • The Knowledge Hub, offering curated legal insights, guidance, and practical resources.  The Knowledge Hub is provided for general information purposes only and does not constitute legal advice. While we aim to keep content accurate and up to date, you should always seek tailored advice from our legal team before relying on any materials for decision-making.

  • Our Private Office Wealth Management Tool to help you track, plan, and optimise your financial goals (subject to separate terms and conditions).

  • A suite of Added Extras, including downloadable templates, legal checklists, and early access to new services.

Your login credentials will be sent to you as part of your onboarding. If you require assistance accessing the portal, our team is available to help.

MEMBER BENEFITS AND DISCOUNTS

As part of your Adam Benedict™ membership, you may be eligible for exclusive discounts on additional legal services, bespoke packages, or partner offerings. These benefits are reviewed periodically and may include reduced rates for complex matters, priority access to new services, or preferred pricing on strategic legal projects. Any applicable discounts will be confirmed in writing before work begins and are subject to availability and your membership tier.

INVITATIONS TO MEMBER EVENTS

We host exclusive member-only events throughout the year, including legal briefings, networking receptions, and private roundtables with industry experts. These events are designed to keep you informed, connected, and inspired. As a member, you will receive priority invitations and early access to registration. Event details will be shared via email and through the Members Area.

REFERRAL REWARDS

We believe great service is worth sharing. If you refer a new member to Adam Benedict™, you may be eligible for a referral reward, such as a complimentary project credit or discounted subscription fee.  Referral rewards are discretionary and subject to confirmation by our team.  We are also bound by strict regulatory rules which mean that, if a referral award can be offered to you, this will have to be disclosed to the individual or organisation that you refer to us.

SERVICE UPGRADES AND FLEXIBILITY

Our membership is designed to grow with you. If your legal needs evolve, we offer flexible upgrade options to ensure you continue receiving the right level of support. You may request a review of your membership tier at any time, and we will advise on the most suitable plan based on your current requirements.

BILLING & ACCOUNTS

We issue a VAT invoice at the start of each subscription period. The fee is payable whether or not you make full use of the available projects.  We reserve the right to suspend services if payment is not received within the agreed timeframe. Full payment terms are set out in the accompanying Payment Terms document.

TERMINATION AND CANCELLATION RIGHTS

Either party may terminate with 30 days’ notice. No refund is given for unused projects if you terminate mid-period.

CLIENT PROTECTION

We remain subject to the Solicitors Regulation Authority (SRA) Standards and Regulations and will act in your best interests at all times.

FUNDING OPTIONS

In some cases, we are required to discuss funding options with you, including:

  • Third-party or commercial litigation funding

  • Retainer-based agreements

  • BTE or ATE insurance policies

  • Disbursement funding loans

However, these options typically relate to matters that fall outside of your membership.

By signing our Payment Terms, you confirm that we’ve discussed funding options and that you agree to proceed with the method outlined in this letter: privately.

CONFLICT OF INTEREST

We will carry out our standard conflict checks to confirm that, based on the information provided, we are not in any conflict of interest that would prevent us from acting for you in this matter. Should any conflict arise during the course of our engagement, we will notify you immediately and take appropriate steps in accordance with our regulatory obligations.

DOCUMENT RETENTION

We will retain your matter file for a minimum of six years following closure, in accordance with our professional and regulatory obligations. You may request access to your file at any time during this period. After the retention period, files may be securely destroyed without further notice.

CONFIDENTIALITY AND DATA PROTECTION

We treat all client information as strictly confidential and comply fully with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR). Your personal data will be processed only for the purposes of providing legal services and managing our relationship with you. Further details are set out in our Privacy Notice and Terms and Conditions.

TAX AND ACCOUNTING DISCLAIMER

Unless expressly agreed in writing, our services do not include tax or accounting advice. You should seek independent professional advice on any tax, financial, or accounting matters that may arise in connection with your legal affairs.

LIMITATION OF LIABILITY

Our liability to you in connection with this engagement is limited to £3 million, unless otherwise agreed in writing. This limitation applies to all claims, costs, and liabilities arising from our services, except where such limitation is prohibited by law. Full details are set out in our Terms and Conditions.

AGREEMENT OF TERMS

These terms take effect upon the earlier of:

  • you signing and returning the Client Engagement Pack;

  • you instructing us to proceed.

WHAT WE WILL NEED FROM YOU

To proceed, please:

  1. Sign and return the Client Engagement Pack;
